Vuel — Terms of Service

These Terms of Service ("Terms") govern your use of Vuel, an iOS app and the services behind it (together, the "Service"), provided by Vuel LLC ("Vuel," "we," "us," or "our"). Please read them carefully — they set out what you can expect from us, and what we expect from you.


1. Acceptance of terms

By creating an account, accepting an invite, or using the Service, you agree to these Terms. If you do not agree, please don't use the Service. If you are using Vuel on behalf of someone else or an organization, you confirm you have the authority to accept these Terms for them.

These Terms work together with our Privacy Policy.


2. Eligibility

Vuel is currently invite-only. To create an account you need a valid one-time invite code, and you must verify both your phone number (by SMS code) and your email address. We may limit, pause, or end invite access at any time.

You must be at least 13 years old, or the minimum age required in your location, to use the Service. If you are under 18, your parent or legal guardian must give you permission to use Vuel and agree to these Terms on your behalf. By using Vuel you confirm that these requirements are met.


3. Description of the service

Vuel is a personal AI agent for everyday life. Rather than only answering questions, the agent can take real-world actions when you ask it to, including:

You can run more than one isolated agent, each with its own personality, theme, and enabled features. Some features in the app are shown faded (VoiceOver announces them as preview) and do not yet function; do not rely on previewed features.

The Service will evolve. We may add, change, limit, or discontinue features, integrations, models, and usage limits, and availability may be interrupted from time to time. Material changes that adversely affect a current paid subscription are addressed in Section 15.

AI output can be inaccurate or incomplete. The Service is provided on an "as is" basis as described in Section 10.


4. Your authorization and responsibility for agent actions

This section is important. Please read it closely.

When you use Vuel, you direct and authorize the actions the agent takes. The agent acts because you instructed it to.

You press Send for texts and emails. For emails drafted to your native Mail app and texts drafted to your native Messages app, you review and press Send yourself, from your own email account or phone number. The agent only prepares the draft — it does not send these on its own.

Connected-mailbox replies stay as drafts in the app until you tap Send. When you connect a mailbox, the agent prepares replies that wait, unsent, in the app until you tap to send them through your connected mailbox.

Phone calls. When you ask the agent to place a call, you authorize that call. You are responsible for ensuring you have the right to contact the number and that the call complies with applicable law (see Section 5). For many calls, Vuel shows you the number and purpose before dialing and proceeds on your instruction, and you can cancel a scheduled or deferred call before it goes out; some calls may proceed from your original instruction without a separate confirmation step. By instructing Vuel to place a call, you represent that you have a lawful basis and any consent required to contact that number, and you authorize Vuel to place the call on your behalf (including, where applicable, disclosing that the call is AI-assisted and that it may be recorded).

You are responsible for what you instruct the agent to do and send. You are responsible for the content of any message, call, or other action you direct, the same as if you had done it yourself.

Verify important actions. AI output can be wrong. You must independently review and verify any high-stakes action before relying on it — including anything involving medical, pharmacy, financial, or legal matters. Vuel does not provide medical, financial, legal, or other professional advice, and the agent is not a substitute for a qualified professional.


5. Acceptable use

You agree not to use Vuel to:

Calls and telephone law. Vuel places AI-driven outbound phone calls and may record calls. You are responsible for using this feature lawfully, including obtaining any consent required to call a number or to record a call in the relevant jurisdiction. Telephone, anti-robocall, and call-recording laws may apply to the calls you direct — including, in the United States, the Telephone Consumer Protection Act (TCPA) and federal and state call-recording consent laws (some states require all parties to a call to consent to recording). You are solely responsible for complying with them, including obtaining any prior express consent required to place an automated or AI-assisted call, honoring do-not-call and opt-out requests, and giving any recording disclosure or obtaining any recording consent required where you or the other party are located. You must not use Vuel to place unlawful, deceptive, harassing, or unsolicited bulk calls.

We may limit usage to protect the Service and others (for example, outbound calling capacity is capped).


6. Your account and security

You are responsible for your account and for keeping your login credentials secure. We use phone and email verification at signup. Please use a strong password (at least 8 characters) and tell us right away if you believe your account has been accessed without your permission. You are responsible for activity that happens under your account.

Service communications. By providing an email address or phone number, you agree that Vuel and its service providers may send you transactional communications needed to create, secure, verify, bill, support, or administer your account, including automated emails and text messages. Message and data rates may apply. Keep your contact information current. Any consent required for marketing messages is separate, and opting out of marketing does not opt you out of necessary service communications.

You may receive a capped number of invite codes to share. Don't sell, transfer, or misuse invites.


7. Plans, credits, billing, and cancellation

Plans and purchase channels. Vuel offers a Free plan and paid subscription plans currently called Starter, Pro, and Max. Paid plans may be offered monthly or annually, and available plans, features, prices, trials, and billing periods may differ between purchases made on the web and purchases made through Apple's App Store. Paid plans are currently available only to customers in the United States. The terms shown on our pricing page and in the order screen at the time you subscribe — including the plan, price, billing period, and included benefits — are part of these Terms. If an order screen conflicts with these Terms, the order screen controls only for those purchase-specific details; these Terms otherwise control.

Credits and limits. Your plan determines your daily and monthly credit allotments and may also determine storage, agent, feature, and other usage limits. Credits measure usage of the Service; they are not money or stored value, have no cash value, and cannot be transferred, resold, or redeemed. Credit use varies with the feature, model, third-party service, complexity, duration, and size of a task, so a credit does not guarantee a fixed quantity or quality of output. We may correct credit-metering errors and may change credit costs or plan limits as the Service evolves. We will give reasonable advance notice of a material reduction to a paid plan when required by law.

Credit refreshes. Daily credits refresh each calendar day and are used before the monthly allowance. Monthly credits refresh at the start of each calendar month; this monthly usage window is separate from your subscription's renewal date. Unused daily and monthly credits do not roll over. An annual subscription is billed for the year in advance, but its monthly credit allowance still refreshes monthly rather than being granted as one annual balance. The Service may pause credit-consuming actions after you reach the applicable limits.

Payment and automatic renewal. Subscription fees are billed in advance. By subscribing, you represent that you are authorized to use the selected payment method and authorize Vuel, Stripe, or Apple — depending on where you buy — to charge the price and applicable taxes shown at checkout to that payment method at the start of the initial term and each renewal term. Monthly subscriptions renew monthly and annual subscriptions renew annually until cancelled. If payment fails, we may retry the charge, suspend paid features, or move your account to the Free plan. You are responsible for keeping your billing information accurate.

Trials and promotions. If we offer a free trial or promotional price, the order screen will state its length, eligibility rules, and the price and billing period that begin afterward. Unless you cancel before the trial or promotion ends, it automatically converts to the paid subscription shown at checkout and your payment method is charged. Introductory trials are generally limited to one per customer, and Apple determines eligibility for App Store offers. App Store cancellation deadlines may require you to cancel at least 24 hours before a trial or renewal ends.

Cancellation, plan changes, and refunds. You may cancel at any time. For a web purchase, use the Vuel billing portal; for an App Store purchase, use your Apple subscription settings. Cancel before the next renewal to avoid the next charge. Unless the order screen says otherwise, cancellation takes effect at the end of the paid billing period and you keep paid access until then. The timing, proration, and credit effects of an upgrade or downgrade are shown in the applicable purchase or subscription-management flow. Except where required by law or expressly stated in an offer, payments are non-refundable and we do not provide credits or refunds for a partially used billing period or unused credits. Apple, not Vuel, processes and decides refunds for App Store purchases under Apple's terms.

Price changes. We may change subscription prices. For a web subscription, we will give at least 30 days' notice before a price increase applies to a renewal. Apple controls notice and consent for App Store price changes. If you do not agree to a new price, cancel before the renewal at which it takes effect.


8. Third-party services

Vuel relies on third-party services to work — for example, connecting a mailbox (such as Gmail), SMS verification, outbound calling, and the underlying AI models. When you connect or use a third-party service through Vuel, that service's own terms and privacy practices also apply to you. We are not responsible for third-party services, and your use of them is at your own risk.

The third parties we currently rely on to provide the Service include, for example, Apple (app distribution and push notifications); our infrastructure and hosting providers (including Supabase and Fly.io); Google, when you connect Gmail or Google Calendar via OAuth; our SMS and outbound-calling providers (used for verification, messaging, and AI-placed calls); and the AI model providers that power the agent. These providers may change over time. Your use of a connected third-party service (such as your mailbox) is also governed by that provider's own terms, and you are responsible for complying with them. The categories of providers we use and how they handle your data are described in our Privacy Policy.

App Store terms. If you obtain the iOS app through Apple's App Store, these Terms are between you and Vuel, not Apple. Vuel, not Apple, is responsible for the app, its content, and any maintenance and support required by law; Apple has no obligation to provide maintenance or support. Your use of the app must comply with Apple's applicable usage rules. The license in Section 9 permits use of the app on Apple-branded products you own or control, and by associated accounts where Apple's rules permit. To the maximum extent allowed by law, Apple has no warranty obligation for the app except that Apple may refund the purchase price, if any, of the app if it fails to conform to an applicable warranty; Vuel is responsible for other claims relating to the app, including product, regulatory, consumer-protection, and intellectual-property claims, to the extent required by law. Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your license of the iOS app and may enforce those terms. You represent that you are not located in a country or region subject to a U.S. government embargo or designated as supporting terrorism and are not on a U.S. government prohibited- or restricted-party list.


9. Intellectual property

The Service, including its software, design, branding, and the "Vuel." wordmark and chevron mark, is owned by us and our licensors and is protected by intellectual property laws. We grant you a limited, personal, non-transferable, revocable license to use the Service under these Terms. You may not copy, modify, resell, or reverse-engineer the Service except as the law allows.

Your content. You keep ownership of the content you provide and the content the agent creates at your direction. You grant us the rights we need to operate the Service — for example, to store, process, and transmit your content to deliver the features you ask for (including through the subprocessors described in our Privacy Policy). This license is limited to operating, securing, improving, and delivering the Service and the features you request; it ends when your content is deleted, except for de-identified data retained as described in our Privacy Policy and any copies we are required to keep by law. As between you and Vuel, you own the content the agent generates at your direction, to the extent ownership is available under applicable law — note that AI-generated material may not qualify for some intellectual-property protections and may not be unique to you. To produce the agent's actions and outputs, your inputs and the resulting outputs are processed by third-party AI model providers under their applicable terms. We do not sell your content.

You represent that you have the rights, permissions, and lawful basis needed to provide your content and instructions, authorize the processing and actions you request, and grant the license above. Your content, instructions, and use of output must not violate applicable law or anyone else's intellectual-property, privacy, publicity, contractual, or other rights.

Feedback. If you voluntarily provide suggestions or other feedback about Vuel, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use it for any purpose without restriction, attribution, or compensation to you.


10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

We do not warrant that the Service will be uninterrupted, secure, error-free, compatible with every device or third-party service, or free from harmful components, or that defects or lost data will be corrected or recovered. You are responsible for keeping copies of important information where appropriate.

AI limitations. The agent uses AI models and can produce results that are inaccurate, incomplete, or unexpected. We do not warrant that the agent's actions, calls, drafts, summaries, or generated media will be accurate, complete, or suitable for any purpose. You are responsible for reviewing and verifying important actions before relying on them (see Section 4).

No professional advice. Vuel does not provide medical, pharmacy, financial, legal, or other professional advice. Always consult a qualified professional for those matters.


11. Limitation of liability

To the fullest extent permitted by law, Vuel's total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total amounts you paid Vuel for the Service in the twelve (12) months before the event giving rise to the claim, or (b) US $100. To the fullest extent permitted by law, Vuel and its suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Service. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; nothing in these Terms limits liability that cannot be limited by law.


12. Indemnification

You agree to defend, indemnify, and hold harmless Vuel and its officers, employees, and suppliers from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your content, the actions you direct the agent to take, or your violation of these Terms or applicable law.


13. Suspension and termination

You may stop using Vuel at any time. We may suspend or terminate your access if you violate these Terms, misuse the Service, fail to pay fees when due, or if suspension is reasonably necessary to protect the Service or others or to comply with law. Suspension or termination may prevent you from using remaining credits and does not entitle you to a refund where the law permits.

You can delete individual content in the app, including files, notes, or agents, and you can delete your full account from the More screen by selecting Delete Account. You may also contact support@vuel.ai for help. Account deletion is permanent and handled as described in our Privacy Policy. Deleting your account triggers cancellation attempts for an active web subscription, but it does not cancel a subscription purchased through the App Store; you must cancel an App Store subscription separately in your Apple subscription settings to stop future charges.


14. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Before bringing any formal claim, you and Vuel agree to first try to resolve the dispute informally by contacting support@vuel.ai and allowing 60 days to resolve it. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Orange County, California, and you and Vuel consent to personal jurisdiction and venue there. To the extent permitted by law, each party waives any right to a jury trial and agrees that claims may be brought only in an individual capacity, not as part of any class or representative action.


15. Changes to these terms

We may update these Terms from time to time to reflect changes to the Service, pricing, law, or safety requirements. If we make material changes, we'll take reasonable steps to notify you before they take effect. Changes that materially adversely affect a current paid subscription will apply no earlier than the next renewal unless an earlier change is required by law, needed for security or safety, or necessary to prevent abuse. If you do not agree to updated Terms, you must stop using the Service and cancel any subscription before its next renewal. By continuing to use the Service after an update takes effect, you agree to the updated Terms.


16. SMS and text messaging program

Separate from the transactional service communications described above, you can opt in to a text messaging program in which Vuel sends you SMS and MMS messages through its messaging provider (Twilio). You opt in by creating a Vuel account, verifying your mobile number, and requesting texts — for example by asking your in-app assistant to text you updates such as recipes, reminders, and alerts, or by enabling SMS notifications in the app. These are personal-assistant updates you configured for yourself; Vuel does not send marketing or promotional texts through this program.

Message frequency varies based on what you set up and may recur, for example hourly or daily. Message and data rates may apply according to your mobile plan.

To opt out, reply STOP to any message to cancel assistant texts; you will receive one confirmation and no further messages. For help, reply HELP or email support@vuel.ai. Opting out of assistant texts does not stop the one-time verification codes we send when you sign in or verify your account.

Carriers are not liable for delayed or undelivered messages, and delivery depends on your carrier and device. Your use of text messaging is also governed by our Privacy Policy. 17. General terms

These Terms and any additional terms expressly incorporated into them are the entire agreement between you and Vuel concerning the Service and supersede prior agreements about the same subject. If any provision is unlawful or unenforceable, it will be enforced to the maximum extent permitted or severed, and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. You may not assign or transfer these Terms or your rights under them without our written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law. Provisions that by their nature should survive termination — including ownership, disclaimers, liability limits, indemnification, and dispute terms — will survive.
